TRANSACTIONS: We draft and negotiate purchase-sale agreements,
option agreements, seller financing and easement agreements.
INSTITUTIONAL
FINANCING: We are involved in various aspects of preparing
construction, converting and permanent loans, including, preparation of
notes, deeds of trust, security agreements, pledge agreements and
noteholding agreements. We also draft loan modifications, partial
releases, subordination agreements, estoppel certificates and
assumption agreements.
LAND USE:
We prepare and negotiate lot line adjustments, conditional use permits,
easements and right of way agreements. We are also experienced in
subdivision processing, eminent domain, inverse condemnation, adverse
possession and environmental issues relating to toxic contamination.
TITLE
POLICIES: We review and analyze preliminary title policies with
regard to purchase-sale transactions, landlord-tenant transactions and
construction financing. We also review, analyze and coordinate special
endorsements to title insurance policies. We are experenced in title
and escrow litigation defense.
LANDLORD-TENANT
TRANSACTIONS: We prepare and analyze all types of leases,
including ground, commercial, office, retail, industrial, residential
and shopping center; estoppel certificates; subordination,
non-disturbance and attornment agreements.
BROKERAGE:
We are experienced in all aspects of commercial,
residential and mortgage transactions. We also handle litigation
involving broker liability, seller disclosures, including
enforceability of arbitration clauses.
RECEIVERSHIPS:
We are experienced in obtaining receiverships for clients' real
property during the pendency of foreclosure proceedings and otherwise
securing and restoring clients assets. We are also experienced in
obtaining alternative provisional remedies through attachments.
